We provide built-in safeguards (message pacing, scheduling controls) to help you follow best practices, but compliance is ultimately your responsibility.

6. Intellectual Property

All content, design, branding, and code comprising the ReplyGrid application and website are protected by applicable intellectual property laws. The “ReplyGrid” name and logo may not be used without our prior written permission. You retain ownership of all content you create or upload through the Service (contact lists, message templates, campaign content).

7. Free and Paid Plans

8. Disclaimers

9. Limitation of Liability

To the maximum extent permitted by law, ReplyGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Our total liability for all claims shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless ReplyGrid, its founders, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including WhatsApp's Terms of Service).

11. Termination

Upon termination, your right to use the Service ceases immediately. Locally stored data on your device remains yours.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts of Delaware.
